Abstract

La tesis se compone de cuatro capítulos. En el primero se definen los conceptos relacionados con las estrategias corporativas, enfocándose más en las M&A. A lo largo del segundo, la investigación se centra más en el proceso por el que debe pasar una M&A exitosa. En el tercero se describe lo relacionado con el control corporativo. Y en el último, se analiza el caso de M&A entre FEMSA y Heineken, sus causas y consecuencias. En esta investigación, se pretende presentar el estado del control corporativo en las M&A de empresas a través del conocimiento de la metodología por la que pasa una transacción de este tipo. Y así, confirmar que el conglomerado de empresas genere mejores resultados para que pueda seguir compitiendo en un mercado internacional, más demandante y competido cada día. En este estudio se pretende retomar los conceptos de M&A, agregar algunos otros como control corporativo, definir qué permite y qué obstaculiza la transición, y ampliar el panorama del control corporativo en las M&A.
