Abstract

As sociedades familiares assumem grande relevância no tecido societário e económico, não só português, como mundial, bem como representam a maioria das sociedades comerciais existentes. Não obstante a sua importância, o facto de serem maioritariamente (ou totalmente) constituídas por membros de uma família, que nela participam como sócios, como membros dos órgãos societários ou como trabalhadores da mesma, suscita diversas questões a nível familiar e societário, resultantes de uma necessidade de harmonização do Direito das Sociedades Comerciais com o Direito da Família. A presente dissertação visa abordar essas mesmas questões, com o objectivo de propor medidas que permitam a sua resolução, bem como medidas preventivas que visem desde logo evitar o seu aparecimento, como será o caso dos Protocolos Familiares. Abstract: Family companies assume great importance in the corporate and economic sectors, not only in Portugal, but also around the World, and represent the majority of existing commercial companies. Despite its importance, the fact of being largely (or completely) formed by members of a family, who participate as partners, as members of corporate organization or as employees of the same, raises a number of issues to family and societal level, resulting in a need for harmonization of Corporate Law with the Family Law. This essay aims to address these same issues, in order to propose measures to their resolution, as well as preventive measures to prevent its occurrence, as will be the case of Family Protocols
