A inteligência artificial por todas as potencialidades que são inerentes às suas capacidades de processamento, muito superiores à dos humanos, e à sua habilidade para aprender com a experiência e com todo o meio com que toma contacto tem vindo a ter um papel cada vez mais relevante no nosso quotidiano e como é claro também o direito societário não é exceção. Como é óbvio iremos sobretudo focar o nosso trabalho no estudo da inteligência artificial, mas também na administração e corporate governance e descortinar qual a influência que a inteligência artificial poderá ter na estrutura societária. Assim iremos tentar descortinar quais as formas de influência que esta tecnologia pode ter na administração societário. Analisaremos quais as consequências da introdução desta inteligência artificial no quadro da administração das sociedades comerciais, assim como tentaremos resolver quais problemas de regime, sobretudo regime de responsabilidade, que se podem levantar com esta nova realidade. Analisaremos, também, a aplicação da figura do administrador de facto para resolução dos problemas de responsabilização relacionados com o uso de IA. A investigação irá iniciar-se pelo estudo da inteligência artificial em si, sobretudo a nível de primeiras noções e estado desta ciência. Depois passaremos para o estudo da denominada corporate governance e com esse estudo iremos determinar quais os efeitos que a inteligência artificial pode assumir no seio da administração societária. Esta aplicação da inteligência artificial irá levantar uma série de novos problemas sobretudo a nivel de regime da responsabilidade, então tentaremos ultrapassar esses obstáculos pelo estudo da figura do administrador de facto que, em suma, permite estender todo o regime da responsabilidade dos administradores àqueles que assumem os mesmos poderes sem que tenham sido nomeados para tal.

Artificial intelligence, due to all the potentialities that are inherent to its processing capacities, far superior to those of humans, and its ability to learn from experience and with all the means with which it comes into contact, has been playing an increasingly relevant role. in our daily lives and, of course, corporate law is no exception.Obviously, we will focus our work mainly on the study of artificial intelligence, but also on administration and corporate governance and discover the influence that artificial intelligence may have on the corporate structure. So we will try to uncover what forms of influence this technology can have on corporate management.We will analyze the consequences of the introduction of this artificial intelligence in the management of commercial companies, as well as try to solve which regime problems, especially the liability regime, that can arise with this new reality. We will also analyze the application of the figure of the de facto administrator to solve accountability problems related to the use of AI.The research will start with the study of artificial intelligence itself, especially in terms of first notions and state of this science. Then we will move on to the study of the so-called corporate governance and with this study we will determine what effects artificial intelligence can assume within corporate management.This application of artificial intelligence will raise a series of new problems, especially in terms of the liability regime, so we will try to overcome these obstacles by studying the figure of the de facto administrator which, in short, allows extending the entire liability regime of administrators to those who assume the same powers without having been appointed to do so.
