Abstract

Целью исследования является анализ причин, руководствуясь которыми компании принимают решения о слиянии/поглощении, исследование динамики на рынке M&A и факторов, влияющих на активность на рынке. Задачи исследования: - собрать и изучить теоретическую базу слияний и поглощений; - проанализировать возможные причины слияния и поглощения; - рассмотреть основные тенденции на рынке M&A: данные статистики о слияниях и поглощениях ЮЛ в мире и РФ за последние 6-8 лет; - рассмотреть один из вариантов оценки эффективности сделки слияния. Исследование выполнялось на базе мирового и российского рынка слияний и поглощений. Методы исследования: Применялись общенаучные методы исследования: сравнительный анализ, а также специфические методы исследования такие как прогнозирование, экспертное оценивание, обработка экспертных оценок, сбор и обработка данных, методы оценки эффективности проектов. Основные результаты исследования: - обоснована экономическая целесообразность применения стратегии слияний и поглощений в ведении бизнеса; - проведены основные процедуры слияния и поглощения ЮЛ; - проанализированы основные тенденции на рынке M&A в России и мире; - сформулированы основные причины слияний и поглощений, а также основные факторы, влияющие на эффективность сделки. Научной новизной исследования является полученные в результате исследования новые данные о влиянии экономических, политических, эпидемиологических событий на слияние и поглощение на транспорте.

The aim of the study is to analyze the reasons that companies use to make decisions about mergers and acquisitions, and to study the dynamics of the M&A market. Research tasks: - collect and study the theoretical basis of the M&A; - analysis of the possible reasons for mergers and acquisitions; - review the main trends in the market of mergers and acquisitions: statistics on mergers and acquisitions of legal entities in the world and the Russian Federation over the past 6-8 years; - consider one of the options for evaluating the effectiveness of the merger transaction. The study was carried out on the basis of the global and Russian mergers and acquisitions market. Research methods: General scientific research methods were used: comparative analysis, as well as specific research methods such as forecasting, expert evaluation, processing of expert assessments, data collection and processing, and methods for evaluating the effectiveness of projects. The main results of the study: - the economic feasibility of applying the strategy of mergers and acquisitions in business is proved; - the main procedures for mergers and acquisitions of legal entities were carried out; - analyzed the main trends in the M&A market in Russia and the world; - the main reasons for mergers and acquisitions, as well as the main factors affecting the effectiveness of the transaction are formulated. The scientific novelty of the study is the new data obtained as a result of the study on the impact of economic, political, and epidemiological events on mergers and acquisitions in transport.
