Abstract

Abstract: The Sociedades por Acciones Simplificadas, commonly known as SAS, offer to their stockholders a kind of company with multiple economic and juridical benefits. Nevertheless, this has caused that some of these SAS have been created with the aim to do fraud or to harm third parties, i.e. they are constituted with illicit purposes. As a result, the limited responsibility of partners becomes unlimited and shared; removing corporate image from juridical person, a legal phenomenon named disregard of legal entity. Resumen: Las Sociedades por Acciones Simplificada, denominadas comúnmente SAS, ofrecen a los accionistas un modelo societario con muchos beneficios económicos y jurídicos. No obstante, esto ha causado que algunas de las sociedades que se constituyen como SAS lo hagan con el ánimo de efectuar fraude a la ley u ocasionar perjuicios a terceros, es decir, se configuran con fines ilícitos. Como consecuencia, la responsabilidad limitada de los asociados pasa a ser ilimitada y solidaria, fenómeno denominado desestimación de la personalidad jurídica.
