Desafios na abordagem ESG: um modelo conceitual de geração de valor

Abstract

Investidores e demais grupos de interesse, Organização das Nações Unidas, Fórum Econômico Mundial em parceria com Deloitte, EY, KPMG e PwC, assim como a International Financial Reporting Standards (IFRS) com o estabelecimento do Comitê Internacional de Normas de Contabilidade (ISSB) e consolidação da Value Reporting Foundation (VRF), avançam na formulação de diretrizes e métricas que visam a materialidade e comparabilidade de informações nas dimensões ESG para evitar a prática de greenwashing. Neste sentido, esse artigo apresenta um modelo conceitual aplicado à Contabilidade e Negócios, em que se relacionam avanços na relação entre neoinstitucionalismo e teoria baseada em recursos, mostrando que os avanços institucionais ESG não são paradoxais à vantagem competitiva e criação de valor, desde que a conformidade às regulações não seja meramente cerimonial e que haja um trabalho permanente que entrelace o ambiente técnico (compliance e efetividade) com o ambiente institucional (influência e legitimidade). Deste modo, essa tendência não resulta em engessamento das práticas empresariais ou necessariamente em investimentos vultuosos, mas em princípios e práticas cada vez mais valorizados pelos stakeholders. Quando empresas consideram, na condução de seus negócios, todos os stakeholders envolvidos, genuinamente e de forma ativa, acabam, não paradoxalmente, por mitigar riscos e maximizar riqueza aos seus acionistas.
