Desafíos regulatorios y el impacto competitivo de las fusiones y adquisiciones

Abstract

Se analizó cómo las Fusiones y Adquisiciones (F&A) impactan la competencia en los mercados, destacando tanto sus beneficios como riesgos. Estas operaciones permiten a las empresas expandirse y ser más eficientes, pero también pueden generar concentraciones de poder perjudiciales si no se regulan adecuadamente. En países desarrollados, como Estados Unidos y miembros de la Unión Europea, existen marcos legales rigurosos —como la Hart-Scott-Rodino Act y el Reglamento de Fusiones— que exigen una revisión previa para evitar monopolios y proteger a los consumidores. En cambio, en economías en desarrollo como la peruana, la regulación es reciente. El Decreto de Urgencia N.º 013-2019 establece un control preventivo, aunque enfrenta obstáculos por falta de recursos y experiencia institucional. Se realizó una revisión normativa comparada, concluyéndose que un sistema de control efectivo de F&A es vital para mantener mercados competitivos, equilibrando eficiencia empresarial con la protección del consumidor y la libre competencia.
