Abstract

Корпоративная «вуаль» – это правовая метафора, обозначающая самостоятельность юридического лица и отделение его учредителей от ответственности. Снятие корпоративной «вуали» происходит, когда суды игнорируют этот принцип, возлагая ответственность на учредителей или участников в случае злоупотреблений, мошенничества или недостаточной капитализации. Основные инструменты снятия вуали включают злоупотребление корпоративной формой, контроль учредителей, недостаточную капитализацию и смешение активов. В Кыргызстане доктрина снятия корпоративной «вуали» слабо закреплена в законодательстве, но ее элементы присутствуют в Гражданском кодексе. Предлагаемые изменения включают введение солидарной ответственности руководителей, расширение применения субсидиарной ответственности и увеличение роли принципа добросовестности. Эти меры помогут защитить права кредиторов и улучшить прозрачность корпоративных структур.

The corporate "veil" is a legal metaphor representing a company's independent legal personality, which separates its founders and participants from liability for its debts. Piercing the corporate veil occurs when courts disregard this principle and hold founders or participants liable in cases of abuse, fraud, or undercapitalization. Key tools for piercing the veil include the misuse of corporate form, control by founders, insufficient capitalization, and commingling of assets. In Kyrgyzstan, the doctrine of piercing the corporate veil is not well-established in legislation, though elements of it are present in the Civil Code. Proposed changes include introducing joint liability for company directors, expanding the application of subsidiary liability, and increasing the role of good faith as a core principle. These measures will help protect creditors' rights and improve corporate transparency.
