The research attempted to determine the individual elements constituting the Limited Liability Partnership contract structure. The form in which a Limited Liability Partnership agreement should be concluded was also analysed. The possibility of concluding a Limited Liability Partnership agreement by a partner or by their representative was also considered. The work uses the dogmatic and constructive method, referring to individual elements of Limited Liability Partnership agreements. The place of legal regulation of individual components of the Limited Liability Partnership agreement has been shown and their location in the civil law system has been taken into account. As a result of the research, individual elements of Limited Liability Partnership agreements were determined, and a set of objectively significant elements was identified, the so-called essentialia negotii. At the same time, a second set of elements found in Limited Liability Partnership agreements was identified, called subject-relevant, the so-called necessaria negotii.

W omówionych w artykule badaniach podjęto próbę ustalenia poszczególnych elementów składających się na strukturę umowy spółki partnerskiej. Analizie poddano także formę, w jakiej powinna być zawarta umowa spółki partnerskiej. Ponadto rozważono możliwość zawarcia umowy spółki partnerskiej przez samego partnera albo przez jego pełnomocnika. W pracy zastosowano metodę dogmatyczno-konstrukcyjną odnoszącą się do poszczególnych elementów umowy spółki partnerskiej. Pokazano miejsce regulacji prawnej poszczególnych składników umowy spółki partnerskiej oraz uwzględniono ich położenie w systemie prawa cywilnego. W wyniku przeprowadzonych badań uporządkowano poszczególne elementy umowy spółki partnerskiej. W rezultacie wskazano zbiór elementów przedmiotowo istotnych, tzw. essentialia negotii. Równocześnie wyodrębniono drugi występujący w umowie spółki partnerskiej zbiór elementów nazywany podmiotowo istotnymi, tzw. necessaria negotii.
