
Dans une ère socio-économique empreinte à une concurrence exacerbée et à des tentations frauduleuses, l’entreprise est menacée par des contraintes de toutes natures. A ce titre, une faute de gestion du dirigeant, bien qu’elle ne fasse l’objet d’aucun arsenal légal propre la définissant et déterminant ses critères d’identification, pourrait contribuer à la mise en difficulté de la société par une insuffisance d’actif. C’est ainsi que le législateur marocain, conscient de la nécessaire sauvegarde de la pérennité d’entreprise, a instauré le mécanisme de responsabilité patrimoniale à l’égard des dirigeants fautifs. Dans cette optique, le présent article a pour objectif d’analyser l’implication de la faute de gestion dans l’insuffisance des actifs d’une entreprise en difficulté, pour mettre en avant les indices d’efficacité de ce régime et les entraves pratiques à résoudre par la proposition d’axes d’amélioration. ABSTRACT In a socio-economic era marked by exacerbated competition and fraudulent temptations, the company is threatened by constraints of all kinds. In this respect, mismanagement on the part of the company's director, although not covered by any specific legal arsenal defining it and determining its identification criteria, could contribute to the company being placed in difficulty by a lack of assets. This is why the Moroccan legislator, aware of the need to safeguard the company's long-term viability, has introduced the mechanism of patrimonial liability for erring directors. With this in mind, the aim of this article is to analyze the involvement of mismanagement in the inadequacy of the assets of a company in difficulty, in order to highlight the indications of effectiveness of this system and the practical obstacles to be resolved by proposing areas for improvement.
