Abstract

La résilience de l’entreprise est définie comme étant la capacité de celle-ci de dépasser ses périodes de crises et de rebondir. Cette capacité de rebondissement est, en fait, impactée par l’imbrication de nombreux facteurs d’échec et/ ou de succès. Certains de ces facteurs sont inhérents à la qualité du management employé et de l’importance de ses moyens, d’autres à celle de l’environnement d’affaires régnant dans le pays. De nos jours, il semble que la question de la résilience d’entreprise tend à retenir l’attention de nombreux théoriciens en management qui se sont attelés à l’élaboration de nombreuses recommandations pour mettre au service de l’entreprise les moyens de sa résilience. Ces recommandations s’accordent de reconnaitre que la résilience d’entreprise est une œuvre qui se construit au moyen d’un ensemble diversifié de moyens et procédés dont les outils juridiques n’en constituent qu’un sous ensemble plus ou moins déterminant. La résilience exige, en fait, un dosage harmonieux de moyens et d’outils de natures différentes ; le défaut de l’un d’entre eux réduit la capacité de résistance de l’entreprise face à ses difficultés éventuelles et l’empêche ainsi de renaitre dans de meilleures conditions. Le droit et ses outils sont certes nécessaires mais à eux seuls, ils sont insuffisants ; ils doivent être combinés à d’autres outils émanant du management et de l’environnement d’affaires sévissant pour donner à l’entreprise plus de résilience.

ABSTRACT In entrepreneurship, resilience is defined as the ability of a company to overcome periods of crisis and bounce back. This ability to bounce back is in fact impacted positively or negatively by the interweaving of many factors. Some are inherent to the quality of the management and the importance of its resources, others to the business environment prevailing in the country. Nowadays, it seems that the issue of business resilience tends to attract the attention of many management specialists. They have developed a number of recommendations to help companies become more resilient. Despite their diversity, these recommendations all agree that corporate resilience is a work in progress, built by means of a diverse set of tools, of which legal tools are only a more or less decisive sub-set. Business resilience requires a harmonious mix of resources (economic, financial, legal, etc.). The lack of one of these elements weakens the company's resistance and reduces its capacity to bounce back from a crisis. Legal tools are necessary but not sufficient, they need to be joined with other tools emanating from management and the prevailing business environment, both of which certainly make the company a resilient entity.
