Hacia un derecho contractual más justo

Abstract

[spa] La idea de justicia contractual se ha visto auspiciada por el nuevo Derecho contractual europeo con la incorporación de figuras tales como la ventaja injusta o la alteración sobrevenida de las circunstancias, que actúan como mecanismos reequilibradores de la economía congénita y sucesiva del contrato. La purga del desequilibrio grave entre las prestaciones puede conseguirse no sólo a través de la ineficacia o invalidez del iter contractual, sino también postergando el vínculo del negocio jurídico por mor de la renegociación inter partes o la adaptación judicial del contrato, efectos que coadyuvan con el principio del favor contractus. El principio general de la buena fe, así como el del equilibrio contractual, emergen también como principios rectores que permiten estacionar tintes de eticidad en el seno del derecho privado y sustentar, asimismo, el deber de corregir o adaptar el contrato altamente desequilibrado.

[eng] Contractual justice has been propelled by the new European contractual law through the coming up of new instruments as unfair advantage or hardship, which are put in place as contract balancing mechanisms. The purging of the contractual disequilibrium could be achieved, not only through the invalidity of the iter contractus, but also via the conservation of the contractual relationship thanks to the inter partes renegotiation, or the judicial adaptation of the contract. The last mentioned principles are to maintain the validity and integrity of the contract. The principles of good faith and contractual equilibrium emerge also as new governing principles that lead to moral arguments concerning private law and, at the same time, the possibility to redraft and maintain the contractual equilibrium.
