La fusione nel concordato preventivo

Abstract

Le operazioni straordinarie possono essere utilizzate nelle soluzioni negoziali della crisi di impresa e, in particolare, nell’ambito dell’istituto del concordato preventivo, come delineato dalla riforma del diritto fallimentare (D.L. 35/2005 e successive integrazioni e modificazioni). Fra le operazioni straordinarie si annovera la fusione, la quale può essere utilizzata come strumento per addivenire al superamento della crisi, in ragione dei conseguenti effetti “riorganizzativi” ed “aggregativi” del patrimonio delle imprese. La fusione può essere, peraltro, utilizzata anche con riferimento alla crisi dei gruppi di imprese, al fine di creare un unico soggetto giuridico e di presentare una sola proposta concordataria. Tale soluzione costituisce un’alternativa al c.d. “concordato di gruppo”: soluzione priva di riscontro normativo, ma accolta da parte della giurisprudenza. Il presente contributo fornisce una sintesi delle principali problematiche operative che emergono dal ricorso alla fusione nel contesto della presentazione di una proposta di concordato preventivo.
