
[Resumen] El articulo tiene por objeto el análisis comunitario de la regulación española rela- tiva a los canjes de valores prevista en el Capítulo VIII del Título VII del TRLIS. El autor considera que tal regulación plantea ciertas dudas sobre su compatibilidad comu- nitaria, en relación con aquellas operaciones de “canje de valores internacionales” en las que intervienen accionistas residentes y no residentes en Estados miembros de la Unión Europea, esto es, residentes en países terceros.
[Abstract] This article analyses the Spanish legislation referred to “share mergers” (or exchange of shares) transactions in the light of the Originary and Secondary EC Law. It is the author´s opinion that such legislation could not be in line with EC Law, with regard to the rules affecting “international share mergers”, that is, exchange of shares transactions that involve taxpayers resident of third countries.
