Este trabajo se ocupa de los pactos parasociales sobre el derecho de voto en sociedades de capital cerrada. Se examinan los límites a la validez y eficacia de los pactos entre los socios y terceros: terceros en sentido estricto (fundamentalmente acreedores sociales), la sociedad y sus administradores. ABSTRACT: This paper focuses on Shareholder’s Agreements regarding to voting rights in closed corporations. The author analyzes the limits to validity and enforceability of agreements among shareholders and third parties: third parties in the strict sense of the word (mainly company’s creditors), the company and its directors.
