In the first part ouf our study, research and development (`R&D`) contracts were evaluated in the context of law of obligations. Within the scope of the evaluation, general characteristic of R&D contracts and rights and obligations of the parties were examined. Because of its importance, the background rights were also as exkurs discussed. Lastly, termination of R&D contracts was introduced. In the second part of our study, R&D contracts were evaluated in the context of competition law. Firstly non-competitive situations were examined. Thereafter, R&D contracts regulations which are important in terms of competition law were discoursed in the framework of the R&D Exemption Communiqué. Subsequently, the relevance of R&D contracts with other Competition Board Communiqués was introduced. Finally, R&D contracts were examined in terms of the possiblty of abuse of dominant position. In the third part of our study, rights of the employees on emerging inventions were discoursed. Tez çalışmamızın ilk bölümünde, araştırma ve geliştirme (`Ar-Ge`) sözleşmeleri borçlar hukuku bağlamında ele alınmıştır. Bu çerçevede, sözleşmelerin genel özellikleri, tarafların hak ve yükümlülükleri incelenmiştir. Taşımış olduğu öneme binaen, arka plan hakları exkurs olarak ele alınmıştır. Son olarak, Ar-Ge sözleşmelerinin sona erme halleri ortaya konulmuştur. Çalışmamızın ikinci bölümünde, Ar-Ge sözleşmeleri rekabet hukuku açısından değerlendirilmiştir. İlk olarak, rekabete aykırılık halleri incelenmiştir. Sonrasında, Ar-Ge Muafiyeti Tebliği çerçevesinde önem arz eden sözleşme düzenlemeleri üzerinde durulmuştur. Devamında, Ar-Ge sözleşmelerinin diğer Rekabet Kurulu tebliğleri ile ilgisi ortaya konulmuştur. Son olarak sözleşmeler, hâkim durumun kötüye kullanılması ihtimali bakımından incelenmiştir. Çalışmamızın üçüncü bölümünde, çalışanların proje sonucunda ortaya çıkan buluşlar üzerindeki hak sahipliği ele alınmıştır. Üniversite çalışanlarının buluşlar üzerindeki hak sahipliği ayrıca değerlendirilmiştir.
