Abstract

Avrupa Şirketi, Avrupa Birliği genelinde faaliyet gösteren şirketlerin yeniden yapılanmalarını ve işleyişlerini ortak kurallara tâbi kılmak ve şirket merkezinin diğer bir üye devlete nakledilmesini kolaylaştırmak amacıyla tasarlanmıştır. Avrupa Şirketine hâkim olan ilkeler, anonim şirket şeklinde kurulma zorunluluğu, Topluluk hukuku ile ulusal hukukun bir arada uygulanması, gerçek kişilerin kurucu olamaması, şirket merkezinin tüzel kişilik sona ermeden nakledilebilmesi, tekli veya ikili yönetim yapısının seçilebilmesi ve işçilerin katılımının zorunlu olmasıdır.Avrupa Şirketine hâkim olan ilkeler ile Avrupa Şirketinin kuruluşu, işleyişi ve sona ermesine ilişkin temel kurallar 2157/2001 (AT) sayılı Avrupa Şirketi Statüsü Hakkında Konsey Tüzüğü'nde (Tüzük) yer almaktadır. İşçilerin katılımı konusu ise, 2001/86/AT sayılı İşçilerin Katılımı Konusunda Avrupa Şirketi Statüsünü Tamamlayan Konsey Yönergesi ile düzenlenmektedir. Avrupa Şirketi Tüzüğü ile ilgili ilk tasarılar oldukça kapsamlı bir şekilde düzenlenmiştir. Ancak, 2001 tarihli Tüzük ile daha sınırlı bir düzenlemeye gidilmiştir. Bu nedenle, birçok hususta atıf yöntemine başvurulmuştur. Tüzük ile benimsenen atıf yöntemi, Avrupa Şirketine uygulanacak hukukun netleştirilmesi ihtiyacını doğurmaktadır.Tezin amacı, Avrupa Şirketi ile ilgili kavram ve kuralları açıklamak ve Türkiye'nin Avrupa Birliği'ne üyeliği halinde Avrupa Şirketi Tüzüğü'nün Türk hukukunda uygulanmasına ilişkin usul ve esasları ortaya koymaktır. Bu çerçevede öncelikle, Avrupa Şirketine hâkim olan ilkeler ile Avrupa Şirketinin kuruluşu, işleyişi ve sona ermesine ilişkin hükümler incelenmektedir. Ardından, üye devlet tarafından düzenlenmesi zorunlu veya mümkün olan hususlar ve ulusal hukuka atıf yapılan hususlarda uygulanacak Türk hukuk kuralları açıklanmaktadır.

The European Company (SE) is designed to introduce common rules for the reorganization and structure of the companies conducting business on the EU scale and to facilitate the transfer of the registered office to another Member State. The basic principles of the SE are, the formation of the company in the form of a public limited liability company, the simultaneous application of EU legislation and national law, the participation of the legal persons in the formation, the transfer of the registered office without winding up of the company, the option between one-tier and two-tier management structures, and the compulsory involvement of employees.The basic principles and the rules on the formation, structure and winding up of the SE are regulated by the Council Regulation (EC) 2157/2001 (SE Regulation). The involvement of employees is regulated by the Council Directive 2001/86/EC. The earlier versions of the SE Regulation were comprehensive. However, the SE Regulation in 2001 has a limited scope. This is the reason behind the frequent references to national law in the SE Regulation. The reference technique adopted by the SE Regulation necessitates the clarification of the law to be applied to the SE.The aim of this thesis is to explain the terms and rules relating to the SE, and to introduce the rules and procedures to be applied to the SE according to Turkish law in case of Turkey?s EU membership. In this context, the basic principles, and the provisions on the formation, structure and winding up of the SE are analyzed. Afterwards, Turkish law to be applied to the SE where a matter is required or permitted to be regulated by national law or where a reference is made to the national law, is explained.
