La regulación de la sociedad unipersonal en el derecho societario peruano

Abstract

El presente trabajo pretende analizar la factibilidad de incorporar la figura de la Sociedad Unipersonal dentro del marco legal societario peruano. La ausencia de una normativa específica para este tipo de sociedad, conformada por un único socio, refleja la existencia de las denominadas sociedades de favor, las cuales responden a una necesidad real del mercado. Muchos emprendedores optan por estructuras que les permitan tomar decisiones de manera autónoma, resguardar su patrimonio e inversión y ejercer control total sobre su empresa. Para llevar a cabo esta investigación, se ha empleado un enfoque cualitativo, utilizando como técnica principal la recopilación de información a través de fichas y fuentes diversas. La presente investigación permitirá explicar con argumentos jurídicos la innecesaria obligatoriedad de la pluralidad de socios como requisito esencial de la constitución de una sociedad, asi como evidenciar la existencia de las sociedades de favor asi como practica aceptada en la constitución de empresas, conllevando a evaluar la viabilidad de la regulación de la Sociedad Unipersonal con el fin de hacer frente a lo antes descrito.

The purpose of this paper is to analyze the feasibility of incorporating the figure of the Sole Proprietorship within the Peruvian corporate legal framework. The absence of a specific regulation for this type of company, formed by a single partner, reflects the existence of the socalled “favor companies”, which respond to a real market need. Many entrepreneurs opt for structures that allow them to make decisions autonomously, protect their assets and investment and exercise total control over their company. In order to carry out this research, a qualitative approach has been used, using as a main technique the collection of information through files and various sources. The present investigation will allow to explain with legal arguments the unnecessary obligatory nature of the plurality of partners as an essential requirement for the incorporation of a company, as well as to evidence the existence of partnerships as an accepted practice in the incorporation of companies, leading to evaluate the feasibility of the regulation of the Sole Proprietorship in order to address the above described.
