Las formas de reorganización societaria en la sociedad por acciones simplificada S.A.S.

Abstract

La Sociedad por Acciones Simplificada (Ley 1258 de 2008), ha fijado los nuevos parámetros para la creación y constitución de sociedades dentro del ámbito colombiano, donde se ha procurado la adopción en materia corporativa de un modelo societario ágil, autónomo, simplificado y eficiente, el cual ha sido divergente frente a las sociedades tradicionales reguladas en el Decreto 410 de 1971 y Ley 222 de 1995. Igualmente, se predica que la Ley 1258 de 2008, ha permitido la creación de una forma asociativa donde la buena fe, la libertad contractual, la unilateralidad corporativa, la separación patrimonial y la autonomía privada de la voluntad de las partes, han erigido los epicentros principialistícos que han orientado el origen, desarrollo y funcionamiento de la Sociedad por Acciones Simplificada.
