Public offering is referred to calls made by all means for the purchase of capital market instruments and prospectus is called a document that must be held for the public offering of that instruments. The prospectus which we consider invitation to offer of the legal nature is the most important public disclosure tool that investors can obtain information of capital market instruments publicly held and their issuers. From this perspective, it is extremely important that the information disclosed in the prospectus is accurate and reflects the truth in an honest way for the protection of investors. The legislator considering this fact has regulated by the Capital Market Law No. 6362 the civil liability to investors due to the prospectus containing false, misleading or incomplete information in detail and enabled the purpose of protecting investors not stuck in theory

Sermaye piyasası araçlarının satın alınması için her türlü yoldan yapılan çağrıya halka arz, araçların halka arzı için düzenlenmesi zorunlu olan belgeye de izahname adı verilir. Hukuki niteliğini icaba davet olarak değerlendirdiğimiz izahname, yatırımcıların halka arz edilen sermaye piyasası araçları ve bunların ihraççıları hakkında bilgi edinebileceği en önemli kamuyu aydınlatma aracıdır. Bu bakımdan izahnamede açıklanan bilgilerin doğru olması ve gerçeği dürüst bir şekilde yansıtması, yatırımcının korunmasında son derece önemlidir. Bu gerçeği göz önünde bulunduran kanun koyucu, 6362 sayılı Sermaye Piyasası Kanunu (SerPK) ile yanlış, yanıltıcı ya da eksik bilgiler içeren bir izahnameden dolayı yatırımcıya karşı hukuki sorumluluğu detaylı biçimde düzenlemiş ve yatırımcının korunması amacının teoride kalmamasını sağlamıştır.
