Abstract

Avhandlingen behandler grensedragningen mellom uforpliktede forhandlinger og avtalerettslig bundethet. Mer konkret tar avhandlingen stilling til om enighet om vesentlige punkter er det avgjørende for bindingsspørsmålet etter modell om suksessiv binding, og for øvrig om det gjelder samme krav og samme terskel uavhengig av avtaletype. Avhandlingen inneholder også en rettspolitisk analyse av slutningsformens forsvarlighet. Analyse av temaet har vist at enighet om vesentlige punkter er det avgjørende for bindingsspørsmålet. Videre er det ut ifra rettspraksis ikke mulig å konkludere med at retten oppstiller ulike krav eller ulik terskel hensett til avtaletype. Høyesterett opererer likevel noe annerledes i sin argumentasjon, avhengig av avtaletype. For mer komplekse avtaletyper går Høyesterett mer konkret til verks i sine vurderinger. Med dette siktes det til at terskelen for hva som anses vesentlig endres i tråd med avtalekonstellasjonen. Videre benyttes disposisjonskriteriene i større grad som argument for binding ved komplekse avtaletyper.
