Deberes Fiduciarios frente a Procesos de Recuperación Empresarial en Colombia y Brasil

Abstract

El presente artículo tiene por objeto establecer cómo el incumplimiento de los deberes fiduciarios del administrador afecta el interés de los acreedores y socios de la sociedad frente al ingreso al régimen de insolvencia empresarial establecido en la ley 1116 de 2006 de Colombia y proceso de recuperación judicial establecido en la ley 11.101 de 2005 de Brasil. Para alcanzar el objetivo propuesto, en la primera parte se hace una referencia a los administradores de los entes económicos, determinando quiénes ostentan tal calidad. En segundo lugar, se analiza el concepto de la relación fiduciaria y se ahonda en los deberes fiduciarios del administrador desde la legislación colombiana y brasileña, desde la doctrina y la jurisprudencia. A continuación, se hace referencia a las generalidades del proceso de insolvencia empresarial en Colombia y el proceso de recuperación judicial en Brasil, determinando las obligaciones y facultades de los administradores. Finalmente, en la cuarta parte se propone una aproximación interpretativa de la forma en que debe actuar el administrador, con base en los deberes fiduciarios, para salvaguardar los intereses de la empresa, los asociados y los acreedores. De contera, se presentan algunas conclusiones.

The purpose of this article is to establish how non-compliance with the administrator's fiduciary duties affects the interest of the company's creditors and partners, given the entry into the business insolvency regime established by Colombian law number 1,116 of 2006 and the judicial reorganization process established by law 11,101 of 2005 in Brazil. To achieve the proposed objective, in the first part, a reference is made to the managers of economic entities, determining which of them bear such quality. Second, we analyze the concept of the fiduciary relationship and focus on the fiduciary duties of the administrator based on Colombian and Brazilian legislation, based on doctrine and jurisprudence. Based on this, reference is made to the generalities of the business insolvency process in Colombia and the judicial reorganization process in Brazil, determining the obligations and powers of the administrators. Finally, an interpretative approach to the way in which the administrator should act, based on fiduciary duties, is proposed to safeguard the interests of the company, associates and creditors, presenting some conclusions.
