La desmaterialización de los valores negociables

Abstract

El volumen de operaciones sobre valores negociables desmaterializados ha crecido has extremos que harían palidecer al usuario de los mercados financieros de hace 20 años. Sin embargo, en el plano jurídico español, seguimos centrando buena parte del debate en la aplicación de las reglas relativas a los títulos-valor. Esta perspectiva es necesaria, pero no suficiente, en la medida en que los valores negociables presentan perfiles, relaciones y problemas que no pueden abordarse desde la óptica exclusiva de las normas de los títulos-valor, cuyo objetivo principal reside en garantizar la circulación y negociabilidad, pero no en solucionar, por ejemplo, los problemas de agencia a los que da lugar la relación de tenencia y custodia, o los problemas de riesgo sistémico. Estos nuevos problemas, característicos de la realidad de los valores negociables, deben recibir la misma atención que los relativos a la legitimación, adquisición a non domino, o la no oposición de excepciones, que tradicionalmente han monopolizado el debate, y las soluciones deben tener presentes todas las perspectivas.
