Abstract

Il tema del cambiamento delle circostanze durante l’esecuzione del contratto ha assunto una dimensione centrale nella società contemporanea, non soltanto in ragione del prodursi di cicliche crisi di varia natura, ma anche in conseguenza della evoluzione del traffico giuridico. Nell’ultimo decennio numerosi professionisti e imprese non sono riusciti a far fronte ai propri impegni contrattuali con conseguente crisi di attività professionali e commerciali. In questo scenario, con la finalità di individuare rimedi che possano ragionevolmente favorire la conservazione dei rapporti economici e preservare il benessere raggiunto, si pro-pone una rilettura della clausola rebus sic stantibus. Essa, come strumento di gestione delle sopravvenienze, non può rimanere limitata all’interno di schemi rigidi (eccessiva onerosità e impossibilità sopravvenuta), ma deve convertirsi in generale criterio equitativo, proporzionato e ragionevole, per mezzo del quale, avendo riguardo all’interesse delle parti, è possibile ricomporre l’assetto negoziale alterato. Si tratta di ripensare la forza di legge del contratto, in modo tale da garantire sia la conservazione di un rapporto negoziale - idoneo a soddisfare gli interessi delle parti con-traenti - sia la certezza del diritto e l’affidamento delle parti sul suo esatto adempimento.

The subject of changing circumstances during the performance of a contract has taken on a central dimension in contemporary society, not only because of the occurrence of cyclical crises of various kinds, but also as a consequence of the evolution of legal traffic. In the last decade, numerous professionals and companies have been unable to meet their contractual obligations, resulting in a crisis of professional and commercial activities. In this scenario, with the aim of identifying remedies that can reasonably favour the preservation of economic relations and preserve the prosperity achieved, a reinterpretation of the rebus sic stantibus clause is proposed. It, as an instrument for managing contingencies, cannot remain limited within rigid schemes (excessive onerousness and supervening impossibility), but must become a general equitable criterion, proportionate and reasonable, by means of which, having regard to the interest of the parties, it is possible to re-compose the altered negotiating structure. It is a matter of rethinking the force of law of the contract, in such a way as to guarantee both the preservation of a negotiated relationship - capable of satisfying the interests of the con-tracting parties - and legal certainty and the parties' reliance on its exact performance.
