La "cesiones agregadas" en el derecho concursal italiano

Abstract

Uno de los objetivos de las últimas reformas del Derecho concursal en Italia ha sido la conservación de la unidad productiva del deudor insolvente. Esto se ha logrado modificando la disciplina de la liquidación del activo en el «fallimento» (art. 105 legge fallimentare: en adelante, LFa) e introduciendo el nuevo «Concordato preventivo in continuità aziendale» (art. 186-bis LFa). La nueva disciplina favorece la transmisión de la «empresa» (recte, de la «azienda», entendida como el conjunto de bienes organizados por el empresario para el ejercicio de la actividad de empresa: art. 2.555 Código Civil, en adelante CC), sobre la base de que la cesión agregada del patrimonio del deudor es algo positivo para el sistema económico en general, al quedar tuteladas, de esta forma, las empresas económicamente «viables» y, con ello, los intereses de los trabajadores; y resulta positivo, además, tanto para el deudor como para los acreedores. Para estos últimos dos, la ventaja de la cesión agregada consiste en la obtención de un mayor valor de realización, en comparación con la suma de los valores de los bienes individuales, añadiéndose a éstos el valor del «avviamento» (goodwill), que representa la capacidad del organismo productivo de generar, en el futuro, flujos de caja positivos. En otras palabras, a través de la cesión agregada se puede vender al «going concern value», capturando con ello también el valor de los bienes inmateriales. El objetivo de este trabajo es analizar las normas antes citadas, resaltando las excepciones de la disciplina concursal de la cesión agregada –en el fallimento y en el convenio preventivo– respecto tanto a la disciplina común de la venta de azienda como a la disciplina de la liquidación «atomizada» de los activos.
