Abstract

Il lavoro ha come tema specifico la disciplina di contrasto alla sottocapitalizzazione, introdotta nel nostro ordinamento tributario, che è caratterizzata da una ratio specificamente antielusiva, ma che ha anche l’obiettivo di favorire la capitalizzazione delle imprese. Si tratta di una disciplina assai articolata e complessa - il cui iter formativo è stato lungo e tormentato - che ha subito mutamenti sostanziali, nel passaggio dalla legge delega al decreto delegato, e sulla cui applicazione sono stati prospettati non pochi dubbi e perplessità. Dopo alcune considerazioni sul fenomeno dell’elusione fiscale e su quello della capitalizzazione delle imprese, utili quali presupposti per l’inquadramento sistematico della tematica trattata, si approfondisce l’iter formativo del decreto delegato, considerando i casi Lankhorst-Hohorst (della Germania) e Bosal (dell’Olanda), e le scelte del legislatore italiano, anche con riferimento alla problematica dell’“eccesso di delega”. Vengono, poi, esaminate le norme contro la sottocapitalizzazione già vigenti in Italia, come la Dit, l’Irap ed il c.d. prelievo Prodi. La parte più corposa della monografia è costituita dall’approfondimento delle disposizioni sulla deducibilità degli interessi passivi, previste dagli articoli 96 e 97 del T.U.I.R., e, quindi sull’ ambito soggettivo ed oggettivo e sulle problematiche applicative della thin capitalization, del pro rata patrimoniale e delle altre ipotesi di deducibilità degli interessi passivi.
