Abstract

La tutela della funzione sociale attribuita alla cooperazione è sempre stata oggetto di un regime fiscale favorevole. Tuttavia, il fenomeno della "falsa cooperazione", che nasconde sotto forma di società cooperativa attività redditizie, ha portato il legislatore nazionale a modificare sostanzialmente il regime delle cooperative. Con la cosiddetta "Riforma Vietti", il legislatore ha introdotto la distinzione tra cooperativa a mutualità prevalente e altre cooperative. Solo il primo, soggetto a forti legami legali e ad un sistema di controllo più penetrante, può godere di vantaggi fiscali. All'interprete è lasciato il difficile compito di coordinare la differenza tra le discipline relative alle diverse cooperative con il regime fiscale pre-esistente. Fatta questa breve rassegna, il lavoro descrive il regime di alcune disposizioni che sono normalmente considerate favorevoli, con particolare attenzione alla disciplina delle riserve indivisibili ed a quella dei ristorni.
