Este trabajo analiza los motivos a los que obedece el interés reciente de las autoridades de competencia europeas en examinar la naturaleza potencialmente anticompetitiva de ciertas prácticas asociadas a la financiación sindicada. El proceso de sindicación en el mercado primario conlleva riesgos anticompetitivos en la medida en que exige algún grado de concertación entre partes financieras competidoras. La cuestión clave es si la formación de un sindicato y el inevitable intercambio de información comercial entre acreedores que comporta pueden dar lugar a una conducta colusoria. En caso de que las autoridades de competencia logren acreditar la existencia de posiciones de dominio en ciertos mercados relevantes, tampoco se puede descartar que algunas prácticas (pre)contractuales propias de la financiación sindicada resulten abusivas.
This paper addresses the underlying reasons for the interest recently shown by EU competition authorities in analyzing potential competition issues related to syndicated lending. Syndication carries inherent competition law risk as it requires at least some degree of cooperation between competitors. The key competition law concern is that syndication and the unavoidable exchange of competitively sensitive information it requires between lenders may lead to potentially anti-competitive co-ordination. In addition, if EU competition authorities were able to prove the existence of dominant positions in certain relevant markets, it cannot be ruled out that at least some (pre)contractual practices of syndicated financing may be found to be abusive.
