The study starts with the historicity and development of fundamental rights, as well as its increasing importance in current legal systems. Subsequently, the modern trend towards the private law constitutionalization, in particular the effectiveness of fundamental rights with private individuals, is analysed. The purpose is to assess the current stage of the doctrinal discussion, demonstrate an understanding of the Brazilian jurisprudence as for the admissibility of the effectiveness of fundamental rights in interprivate relations and above all, provide parameters to assess the exact extent of such effectiveness. From this point, a question is raised on how that effectiveness can change the performance of corporations in the relations between themselves, as well as between corporation and member and those forged between the members themselves. Considering the provisions of items LIV and LV of article 5 of the Brazilian Constitution, which ensure the due legal process to deprivation of assets and rights, as well as guarantee to litigants, in judicial or administrative proceedings, and the defendants in general, the contradictory and the right to be heard, the guidelines of these guarantees in the field of corporate law are presented. This paper presents an express case of horizontal effectiveness of fundamental rights and set forth in article 1.085 of the Brazilian Civil Code, providing for the exclusion of the minority member in the general meeting or a special meeting of members. Based on this same standard, the use of unlawful evidence against the member and the possibility of an asymmetric provision of the exclusion of one or some of the members is evaluated and differentiated. O estudo tem início com a historicidade e desenvolvimento dos direitos fundamentais, bem assim sua crescente importância nos sistemas jurídicos atuais. Em seguida, analisa-se a moderna tendência de constitucionalização do direito privado, em especial a análise da eficácia dos direitos fundamentais junto aos particulares. Pretende-se aferir o estágio atual da discussão doutrinária, demonstrar o entendimento da jurisprudência brasileira quanto à admissibilidade da eficácia dos direitos fundamentais nas relações interprivados e sobretudo oferecer parâmetros para aferir a exata medida desta eficácia. A partir deste ponto, indaga-se de que forma dita eficácia pode alterar a atuação das sociedades empresárias nas relações entre si, nas relações entre sociedade e sócio e naquelas firmadas entre os próprios sócios. Toma-se o conteúdo das normas dos incisos LIV e LV do art. 5º da Constituição Federal, nos quais se assegura o devido processo legal para privação de bens e direitos, além de garantir aos litigantes, em processo judicial ou administrativo, e aos acusados em geral, o contraditório e a ampla defesa, apresentando diretrizes dessas garantias no campo do direito societário. O trabalho apresenta caso expresso de eficácia horizontal dos direitos fundamentais e estampado no art. 1.085 do Código Civil, que cuida da exclusão de sócio minoritário em assembleia ou reunião de sócios. Com base nesta mesma norma, ainda é avaliado o uso da prova ilícita contra o sócio e a possibilidade de se dispor de maneira assimétrica sobre a exclusão de algum ou alguns dos sócios, impondo diferenciações entre eles. Também analisa a vinculação de sócio superveniente à cláusula compromissória inserida em estatuto ou contrato social.
