Reglas de buen gobierno y responsabilidad a los administradores societarios en el Derecho argentino

Abstract

En otros trabajos de nuestra autoría nos referimos a la estrecha relación que existe entre responsabilidad y obligación, recurriendo, para graficar la misma, a la célebre metáfora germana que refiere que la primera sigue a la segunda como si fuera su sombra. Justamente por la indisoluble relación entre ambas instituciones, puede afirmarse que, en todos aquellos casos en los que fuera necesario evaluar la existencia de responsabilidad, será imprescindible indagar antes si hubo una obligación incumplida.
