Abstract

Wycena przedsiębiorstwa jest niezbędna w wielu formach przedsięwzięć inwestycyjnych, transakcjach fuzji i przejęć (M&A) oraz działaniach restrukturyzacyjnych. Wycena jest również początkowym etapem zarządzania jego wartością. Praca przedstawia podstawowe funkcje i zasady wyceny przedsiębiorstw oraz najbardziej popularne i najczęściej stosowane metody wyceny. Część badawcza zawiera wycenę spółki Luvena S.A. wykonaną za pomocą metody zdyskontowanych przepływów pieniężnych DCF (z wykorzystaniem narzędzi metody i-DCF) oraz metody porównawczej (mnożnikowej). W wyniku stosowania dwóch różnych metod wyceny, uzyskano zbieżne wartości wycenianej spółki. Wykorzystanie dwóch instrumentalnie różnych metod pozwala uzyskać bardziej wiarygodne i miarodajne wyniki oraz uniknąć różnorodnych błędów. Company valuation is Essentials In different kinds of investment activities, M&A transactions or restructuring activities. It should also be noted that the valuation of the company is the initial step in the management of its value. The thesis presents the main features and principles of business valuation and the most popular and most commonly used valuation methods. The research part of the contains the valuation of Luvena S.A. made with the help of discounted cash flows DCF (using i-DCF tools) and comparative methods. As a result of applying of two different methods of company valuation there were obtained coinciding values of the company. The use of two different methods gives us possibility to achieve more reliable and meaningful results and to avoid various errors.
