Abstract

As cooperativas agrícolas têm sido como que um refúgio para os produtores que têm permanecido num sector em perda de importância. As cooperativas agrícolas são empresas colectivas e autónomas, de livre constituição de capital e têm como principal objectivo a entreajuda dos seus membros e a satisfação das suas necessidades. Actualmente o Sector Cooperativo vive um período de recessão caracterizado pela falta de uma estrutura empresarial e de competitividade agravado pelo panorama actual da agricultura. A Agricultura Portuguesa caracteriza-se por uma estrutura fundiária deficiente, baixos níveis de formação profissional, envelhecimento da população, fraca produtividade e tecnologia e até mesmo abandono das explorações agrícolas. Com uma estrutura organizacional deficitária, as cooperativas agrícolas têm tido dificuldade em adaptar-se às novas tendências da economia que se encontra cada vez mais globalizada. O desajustamento face à concorrência é crescente, o que está na origem de elevados níveis de endividamento. Ã? necessário que as cooperativas agrícolas repensem as suas estratégias de crescimento para contribuírem eficazmente para o desenvolvimento rural. Através da análise bibliográfica e estudando alguns casos práticos, evidenciamos que os processos de Fusão Aquisição podem ser uma solução virtuosa para ultrapassar a situação vigente. Em nossa opinião, esta estratégia poderá favorecer a reorganização das cooperativas, no sentido da resolução da questão de falta de dimensão empresarial. Além disso, permitirá aumentar a competitividade das cooperativas e criar uma maior diversidade da oferta, com maior qualidade e a um menor custo.

The agricultural cooperatives have been as a shelter for the agents who have remained in a sector in loss of importance. The agricultural cooperatives are coilective and autonomous enterprise, of free constitution of capital and have as main objective the help of the members and the satisfaction of its necessities. However, the Cooperative Sector lives a crisis currently, suffers of lack of enterprise structure and competitiveness to follow the current view of agriculture. Portuguese Agriculture is characterized for a deficient agrarian structure, low levels of professional formation, aging of the population, weak productivity and technology and abandonment of the agricultural explorations. With a deficit in the organizational structure, the agricultural cooperatives have had difficulties in adapting to the new trends of the economy that is increasingly globalized. The maladjustment face the competition is increasing, which contributes to the raising of the debt. It is necessary that the Agricultural Cooperatives rethink its strategies of growth to contribute efficiently for the agricultural development. Through an bibliographical analysis and the study of some practical cases, we evidence that the processes of Merger Acquisition can be a virtuous solution to overcome the effective situation. This strategy will favor the reorganization of the cooperatives in the direction of the resolution of the question of lack of enterprise dimension. Beyond this, it will allow to increase the competitiveness of the cooperatives and to create a bigger diversity of offer, with bigger quality and to a lesser cost.
