En el presente Trabajo de Fin de Grado, se llevará a cabo un estudio de la responsabilidad del órgano de administración de las sociedades mercantiles ante el incumplimiento del deber legal de promover la disolución al incurrir el perdidas que dejen reducido el Patrimonio Neto a una cantidad inferior a la mitad del Capital Social, ya que este órgano, ha de actuar en el ejercicio de sus funciones conforme a lo establecido en la Ley. Dada la situación económica mundial actual derivada de la crisis sanitaria del Covid y la guerra de Ucrania el presente estudio cobra mayor importancia, pudiendo incrementar en la practica el ejercicio de las acciones de responsabilidad frente a esta figura. Por ello será de especial importancia determinar el alcance de su deber en cuestión, así como de la responsabilidad en la que pueden incurrir. Dicho estudio lo llevaremos a cabo aplicando cuatro métodos analíticos: el método histórico, el método comparado, el análisis jurídico actual, y el método jurisprudencial. Pudiendo observar los preceptos legales y su aplicación práctica.

This study will be carried out by applying four analytical methods: the historical method, the comparative method, the current legal analysis, and the jurisprudential method.
