[ES] En este trabajo vamos a sobre la ley de modificaciones estructurales, centrándonos principalmente en la fusión de sociedades, sus tipos, clases, procedimientos y efectos para poder tener una idea sobre este tema. También examinaremos cuidadosamente la manera contable de hacer todo el proceso, aunque lo simplificaremos asumiendo que solo hay fusión por creación de nueva empresa y fusión por absorción. La fusión, básicamente, es la unión de una o más empresas y tiene como objetivo reducir los costos de distribución y producción, e incrementar los ingresos o conseguir más clientes.
[EN] In this work we are going to discuss the “structural changes law”, focusing mainly on the merger in the companies, their types, classes, procedures and effects in order to have a quick view on this topic. We will also look carefully at the accounting way of doing the whole process, although we will simplify it by assuming that there is only merger by creation of new company and merger by absorption. The merger, basically, is the union of one or more companies and aims to reduce the costs of distribution and production, and increase revenue or get more customers.
