Abstract

"El Director independiente constituye uno de los pilares de las buenas prácticas del gobierno corporativo. A nivel local, en un mercado de capitales signado por una marcada concentración accionaria y a diferencia de lo que sucede en mercados de capitales desarrollados en donde integran la mayoría en el Directorio y su participación en la gestión de la emisora resulta activa y determinante, sus funciones se restringen principalmente al ámbito del Comité de Auditoría. De acuerdo con una de las principales premisas de las buenas prácticas del buen gobierno corporativo en donde no existe un único modelo de buenas prácticas, se presentan una serie de propuestas y alternativas a fin de mitigar los efectos que derivan de la concentración accionaria de manera que el Director independiente argentino no se limite a un artificial cumplimiento de buenas prácticas internacionales sino que su figura implique una herramienta eficaz en vías del desarrollo del mercado de capitales local procurando el correspondiente beneficio en stakeholders y en línea con los objetivos de las buenas prácticas del gobierno corporativo."
