Abstract

Este trabajo hace una breve descripción de la teoría de opciones reales (desde su relación con las opciones financieras hasta su aplicación en el ámbito de la estrategia y las adquisiciones) y plantea un modelo de adquisición con opciones de adquisición y abandono. El modelo plantea que la empresa que compra una participación ? puede tener una opción de adquisición y una opción de abandono y que la empresa que va a ser adquirida puede poseer de igual forma una opción de adquisición (recompra) y una opción de abandono. Se evidenció que el modelo es acorde con la teoría y se concluye que al involucrar opciones reales en las adquisiciones, según se posea el control de la compañía y se tenga la prioridad de ejercer las opciones, se generan diferentes motivaciones y se pueden aplicar diversas estrategias.

This work makes a brief description of the real option theory (from its relation with financial options to its application in the field of strategy and acquisitions) and proposes an acquisition model with acquisition and abandon options. The model is based on a company that buys a θ share of a business and may have an option to acquire and an option to abandon, and the acquired company equally may have an option to acquire (repurchase) and an option to abandon. The model is consistent with the theory and the study concludes that when real options are involved in acquisitions, the possession of the company control 4 and the option exercise priority generates different motivations and diverse strategies that could be applied.
