Abstract

A lo largo de las últimas décadas, el interés por el Gobierno Corporativo ha aumentado exponencialmente entre los distintos profesionales de la empresa, del mundo académico y del ámbito regulatorio. Uno de los motivos por el que dicho concepto ha adquirido la creciente importancia se encuentra reflejado en la relación obtenida con las distintas crisis financieras y múltiples Escándalos Financieros acontecidos. Concretamente, la relación se encuentra enfocada en las fallas en el Gobierno Corporativo de las empresas, que muchas de estas fallas se han visto reflejadas en Escándalos Financieros de elevadas dimensiones. En este Trabajo Fin de Grado (TFG) se profundiza en el conocimiento del Gobierno Corporativo. Para ello, en primer lugar, se estudia el concepto de Buen Gobierno Empresarial y los diferentes modelos que acontecen al mismo. Posteriormente, se realiza un análisis del concepto en España, estudiando los diferentes códigos que se han promulgado y prestando especial interés al Código Unificado de Buen Gobierno para Empresas Cotizadas del año 2015. Además, este apartado finaliza con el análisis de la consideración que tiene el Buen Gobierno Corporativo tanto para las empresas cotizadas como para las no cotizadas. En segundo lugar, se estudia el concepto de Escándalos Financieros junto con los diferentes tipos existentes. Por último, a través de la metodología de estudios de casos, se analizan varios escándalos empresariales, en concreto, el Caso Enron, el Caso Volkswagen y el Caso Lehman Brothers. ABSTRACT: Throughout recent decades, the interest in Corporate Governance has increased exponentially among various professionals in companies, the academic world and the regulatory scope. One of the reasons why this concept has acquired this growing significance is reflected in the relationship obtained with the various financial crises and multiple Financial Scandals that have taken place. Specifically, the relationship is focused on the flaws of Corporate Governance in companies, many of which have been reflected in Financial Scandals of great size. This dissertation delves into the knowledge of Corporate Governance. For this, first of all, we studied the concept of Good Corporate Governance and the various models that intervene in the same. Later, we carried out an analysis of the concept in Spain, studying the various codes that have been enacted and paying special attention to the Unified Code of Good Governance for Listed Companies from the year 2015. Also, this section is completed with the analysis of the consideration of Good Corporate Governance for both listed and non-listed companies. Secondly, we studied the concept of Financial Scandals together with the various types existing. Finally, through the case study methodology, we analysed several business scandals, specifically the Enron Case, the Volkswagen Case and the Lehman Brothers Case.
