Abstract

RESUMEN: En el Derecho español, la finalidad principal del concurso continúa siendo –al menos, formalmente– la satisfacción de los acreedores del deudor insolvente. Ahora bien, la ley permite que esa finalidad se realice a través de dos soluciones, el convenio y la liquidación, para cuya respectiva tramitación se articulan específicas fases en el procedimiento. Aunque en la Exposición de Motivos de la Ley Concursal (LC) el legislador señaló su preferencia por la solución convenida, que la normativa trata de fomentar, la liquidación se ha impuesto en la realidad como la solución normal del concurso. El presente trabajo se divide en dos partes bien diferenciadas: 1ª) Una primera exposición teórica (primer cuerpo del trabajo), inspirada en los autores esenciales de la materia y relativa a las principales cuestiones que plantea el procedimiento de liquidación concursal. El recorrido abarca desde las causas de su apertura, pasando por el análisis de sus efectos, el diseño de un plan de liquidación,la ejecución de las operaciones de liquidación y el pago a los acreedores. 2ª) Una segunda parte (en forma de anexo) en la que pasamos a desarrollar un caso práctico concerniente a dicha materia. El caso presentado está inspirado en la situación económica-financiera de una compañía cántabra, abocada, hace ya unos años, a una situación de crisis concursal, espoleada como otras muchas empresas por la grave crisis económica. No obstante, hemos trasladado el escenario hasta nuestros días, para mantener la coherencia con la aplicación del derecho concursal vigente. El caso se resuelve desde la perspectiva del abogado concursal (no desde el punto de vista de la Administración Concursal), que tendrá que ponerse a trabajar duramente para resolver la preocupación de su cliente: la difícil situación económica y financiera que atraviesa la compañía y las diferentes responsabilidades personales que pudieran derivarse de tal situación para el órgano de administración. ¿Cuál será la estrategia jurídica elegida, de entre todas las que ofrece el Derecho Concursal vigente?

ABSTRACT: In Spanish law, the essential purpose of the bankruptcy continues to be - at least formally - the satisfaction of the creditors of the insolvent debtor. Now, the law allows that purpose to be carried out through two solutions, the agreement and the liquidation, for whose respective procedure specific phases are articulated in the procedure. Although in the Statement of Reasons the legislator expressed his preference for the agreed solution, which the regulation tries to encourage, the liquidation has been imposed in practice as the normal solution of the contest. The present work is divided into two well differentiated parts: 1st) A first theoretical exposition (first body of work), inspired by the essential authors of the matter and related to the main issues raised by the insolvency liquidation procedure. The route ranges from the causes of its opening, through the analysis of its effects, the design of a liquidation plan and the execution of settlement operations. 2nd) A second part (in the form of an annex) in which we will develop a practical case concerning this subject. The case presented is inspired by the economic-financial situation of a Cantabrian company, which, a few years ago, was facing a situation of bankruptcy crisis, spurred like many other companies by the serious economic crisis. However, we have moved the scenario to our days, in order to maintain consistency with the application of the current bankruptcy law. The case is resolved from the perspective of the bankruptcy attorney (not from the Bankruptcy Administration's point of view), who will have to work hard to resolve his client's concern: the difficult economic and financial situation the company is facing and the different personal responsibilities that could arise from such situation for the administration body. What will be the chosen legal strategy, among all those offered by the current Bankruptcy Law?
