Tratos preliminares y responsabilidad precontractual

Abstract

En el presente trabajo se aborda, desde una perspectiva legal, doctrinal y jurisprudencial, el concepto y alcance de los tratos preliminares en la contratación privada en el derecho colombiano, indicando el sentido que se les da a la buena fe en la etapa precontractual y a los deberes de conducta que de ella se derivan. Igualmente, se analiza la forma como se trata el tema en la Convención de las Naciones Unidas sobre Compraventa Internacional de Mercaderías y los Principios de Unidroit para los contratos comerciales internacionales. Posteriormente, se analiza la naturaleza jurídica de la responsabilidad por violación del deber de buena fe, mostrando los argumentos de las teorías contractualistas y extracontractualistas, al igual que los daños indemnizables.

In the present work, from a legal, scientific and jurisprudential perspective, the concept and scope of preliminary dealings are studied under Colombian law private contracts, by indicating the sense given to good faith in the pre-contractual stage and to the duties of behavior derived there from. As well, the United Nations on the International Sale of Goods and Unidroit Principles are analyzed for domestic and international contracts. Subsequently, the juridical nature of liability arising from breaching of the duty of good faith is analyzed, showing the arguments of contractual theories and torts theories, as well as harm subject to payment of damages.
