El presente trabajo tiene como objetivo indagar y aclarar qué entiende el ordenamiento jurídico y la doctrina colombiana por subordinación y grupos empresariales. De la misma forma, analizar algunas cuestiones relativas a la protección de los minoritarios en estas estructuras, así como determinar los diversos mecanismos de los que gozan estos asociados para hacer efectiva dicha protección. Lo anterior, se hará mediante el estudio de la ley, jurisprudencia y doctrina colombiana en materia societaria, y también en algunos casos del derecho comparado.

The main objective of the following work is to inquire and clarify what does the Colombian legal system and doctrine understand by subordination and entrepreneur groups. In the same way, analyse some issues related to minority shareholder’s protection in these structures, as well as determine different mechanisms that these shareholders have to make effective the protection. The above will be done through the study of Colombian law and jurisprudence, doctrine in corporate matters, as well as reference to comparative law.
