Impacto de los cambios del control corporativo sobre el valor de las empresas en América Latina

Abstract

En los últimos años hay evidencia del incremento en el número de fusiones y de adquisiciones a nivel mundial. Industrias del sector alimentos, financiero, servicios públicos, telecomunicaciones, bebidas, aéreo, minero, tanto en Europa como en Estados Unidos, sufrieron una oleada de fusiones y adquisiciones especialmente en los años 80 y 90. Investigaciones dedicadas a este tema han encontrado hallazgos respecto de que la aceleración de los procesos de globalización, como consecuencia del gran avance en el desarrollo de las tecnologías de la comunicación y de la información, está relacionada positivamente con la actividad de fusiones y adquisiciones. Al mismo tiempo, estos procesos han motivado cambios en políticas gubernamentales, en la tecnología, y en los Shocks en la oferta y la demanda, que a su vez promueven cambios en la estructura de la industria, que finalmente han derivado en una oleada significativa de fusiones y adquisiciones (Mitchell y Mulherin, 1996; Jensen, 1993; Weston et al., 1990; Ravenscraft, 1987 y Lozano, 1999).
