En el transcurrir del tiempo, con la transformación social, nacen y se modifican herramientas e instituciones jurídicas para satisfacer el avance humano, no obstante, muchas de estas herramientas son usadas con el objetivo de vulnerar el ordenamiento jurídico para beneficio propio, cada vez que una norma es promulgada, se usan y crean figuras e instituciones para evadir su cumplimiento. En el ámbito societario la realidad no es distinta, ya que las sociedades por capital al traer ciertos beneficios por quienes hacen uso de esta, también, ha aumentado el uso ilegitimo con el fin de escudarse en la limitación de responsabilidad y no responder más allá por el daño causado.
