Abstract

W artykule autor przedstawia sposób optymalizacji podatkowej pozwalający spółkom kapitałowym generować straty podatkowe poprzez zbycie udziałów spółek z ograniczoną odpowiedzialnością, których kapitał został wcześniej obniżony w drodze obniżenia wartości nominalnej ich udziałów. Autor po przedstawieniu instytucji obniżenia wartości nominalnej udziałów przechodzi do analizy konsekwencji podatkowych takiego działania. Na ich podstawie przedstawia on model schematu optymalizacji podatkowej wskazując równocześnie na ryzyka związane z jego stosowaniem. In article the author shows innovative idea of tax optimization that allows companies to generate tax loses through sale of shares in limited liability companies whose capital has been reduced by reducing the nominal value of their shares. At the beginning the author describes the institution of reducing the nominal value of shares stepping afterwards to analysis of tax consequences of such reduction. On the basis of presented deliberations author presents a model of tax optimization.
