Las operaciones vinculadas en las sociedades no cotizadas (la limitada eficacia del control preventivo)

Abstract

La regulación de las operaciones vinculadas en la sociedad cotizada se caracteriza por el control preventivo y un alto grado de procedimentalismo. Este artículo analiza si la idiosincrasia de las sociedades que no cotizan es compatible con el establecimiento de procedimientos preventivos de control que resulten efectivos. El estudio se realiza sobre la base de la norma aplicable a las operaciones celebradas entre la sociedad y sus administradores o sujetos vinculados a ellos (artículo 230.2 de la Ley de Sociedades de Capital). Sumario: I. Introducción a las operaciones con partes vinculadas. El régimen vigente en las sociedades cotizadas y en las no cotizadas. II. Las operaciones entre la sociedad y sus administradores. Régimen jurídico. 2.1. Líneas generales del artículo 230.2 LSC: regulación en el ámbito de las sociedades cotizadas. 2.2. Delimitación subjetiva de la norma. 2.3.
