Tradicionalmente la extinción automática de las sociedades mercantiles había sido un recurso utilizado por el legislador como medida de protección de los intereses del accionista. El trabajo presentado señala la evolución del alcance de este recurso legal, con particular referencia al contenido del mismo en la regulación societaria inserta en el Anteproyecto de Código Mercantil.
Traditionally automatic dissolution of corporations had been used by the legislator as a mean of protection of shareholder's interests. The present document studies the evolution of the scope of this remedy, with particular reference to the future regulation inserted in the Draft Commercial Code.
