Abstract

La novedad del trabajo radica en la puesta en relación del artículo 1535 del Código Civil con una exégesis completa que aborde soluciones para el deudor-consumidor que experimenta la cesión de su crédito a fondos de activos que lo adquieren a bajo coste. La investigación pretende abrir una nueva línea: cómo se ha de interpretar el precepto decimonónico, relativo al impropiamente denominado «derecho de retracto» (de crédito litigioso), cuando el deudor es un consumidor. Concretamente, se precisa profundizar en la transferencia de créditos al consumo impagados o fallidos a terceros ajenos de la relación obligatoria, mediante la cesión en bloque o en masa. Se aspira a una nueva exégesis del artículo 1535 del Código Civil conforme a los criterios hermenéuticos recogidos en el artículo 3.1 del Código Civil: gramática; antecedentes históricos y legislativos; finalidad; espíritu de origen; y, realidad social actual, que han de ponerse en consonancia con el naciente contexto consumerista. La jurisprudencia, lejos de toda integración con la normativa de consumo, realiza una labor interpretativa excesivamente restrictiva, estableciéndose rigurosos requisitos que quedan fuera del dictado literal de la norma. La investigación consigue, en cierto modo, establecer unas bases para el avance en la protección de la parte débil de la cesión, el deudor-consumidor, frente a los «negociantes oportunistas de deudas».
