A vueltas con el agotamiento del derecho de distribución en los contratos llamados "de suministro de contenidos digitales". A propósito de la STJUE de 12 de octubre de 2016 (C-166/2015)

Abstract

La STJUE de 12 de octubre de 2016 se pronuncia acerca del agotamiento del derecho de distribución matizando la doctrina de la STJUE de 3 de julio de 2012 (Usedsoft v. Oracle). En 2012 afirmó que los contratos de licencia de uso y de compraventa son análogos a los efectos del agotamiento del derecho de distribución siempre que no se trate de licencias temporales, sin establecer otro condicionante. En 2016 limita los casos en que puede invocarse el agotamiento del derecho de distribución a aquellos en que el programa de ordenador se revende en el soporte original en que fue adquirido. Este segundo pronunciamiento, más restrictivo que el de 2012 en cuanto a los supuestos en que puede aplicarse la regla del agotamiento del derecho de distribución ignora un principio básico del comercio electrónico como es el principio de equivalencia funcional, y podría dejar vacía de contenido la regla del agotamiento en los contratos de suministro de contenidos digitales en copia física, lo que supondría un empobrecimiento del consumidor.

The CJEU ruling of 12 October 2016 addresses the exhaustion of distribution rights, clarifying the doctrine of the CJEU ruling of 3 July 2012 (Usedsoft v. Oracle). In 2012, it stated that licence agreements and sales contracts are analogous for the purposes of the exhaustion of distribution rights, provided that they are not temporary licences, without establishing any other conditions. In 2016, it limited the cases in which the exhaustion of distribution rights can be invoked to those in which the computer program is resold on the original medium on which it was purchased. This second ruling, which is more restrictive than that of 2012 in terms of the cases in which the rule of exhaustion of the right of distribution can be applied, ignores a basic principle of e-commerce, namely the principle of functional equivalence, and could render the rule of exhaustion meaningless in contracts for the supply of digital content in physical copy, which would lead to consumer impoverishment.
