No contexto da pandemia covid-19, questiona-se a validade e eficácia das cláusulas contratuais de força maior em face dos limites colocados pelo ordenamento jurídico à autonomia privada. Admite-se uma ampla liberdade negocial na contratação, aceitando a validade quer das cláusulas que ampliam os fundamentos de desvinculação por impossibilidade, quer das cláusulas que restringem esses fundamentos. Não havendo interesses de ordem pública a tutelar, prevalece a autonomia contratual, sem se identificarem razões para uma intervenção paternalista do ordenamento jurídico. As partes são livres de fixar a repartição dos riscos do contrato
In the context of the covid- 19 pandemic, we question the validity and enforceability of force majeure clauses, having in mind the limits placed on party autonomy. Freedom of contract prevails when parties regulate force majeure events. We accept the contract may regulate force majeure as a cause for termination both by restricting and by enlarging the legal grounds for discharging the contract. Party autonomy prevails as there is no public interest in stake and no need for a paternalistic intervention of the state. the parties are free to allocate the risks of contract.
