Empresas públicas sob forma de sociedade comercial : onde acabam as especificidades e começa a descaracterização?

Abstract

O presente estudo pretende abordar os efeitos que o novo quadro legal e regulamentar aplicável às empresas públicas tem sobre aquelas que revestem a forma de sociedades comerciais, ou seja sobre as pessoas coletivas de direito privado. Sem prejuízo de podermos compreender que as empresas públicas, sob a forma de sociedade comercial se podem considerar como “especiais” face ao tipo consagrado no Código das Sociedades Comerciais, dado que apesar de se regerem pelas disposições do referido Código, estão em primeira linha sujeitas a um regime legal específico que se lhes aplica. A verdade é que, nos últimos anos, as derrogações à lei geral e a intensidade das especificidades que a lei tem vindo a introduzir, vêm colocar em causa o recurso e/ou a manutenção pelo Estado de empresas públicas sob a forma de sociedade comercial, na sua essência sujeitas ao direito privado. O facto de tais empresas, pessoas coletivas de direito privado, puderem ser sujeitas a normas idênticas, nomeadamente orçamentais, às que são seguidas pelos serviços e fundos autónomos, uma vez que os critérios que são utilizados para qualificar uma empresa como “entidade pública reclassificada”, ou seja incluída no perímetro orçamental da administração pública, não distinguem, nem excecionam, este tipo de empresas públicas, parece conduzir a que aquelas empresas se apresentem presentemente descaracterizadas.

The present study intends to address the effects that the new legal and regulatory framework applicable to state owned companies (SOE’s) has over those that take the form of commercial companies, in other words, subject to private law. Notwithstanding that we can understand that SOE’s can be considered as "special" in relation to the type established in the Portuguese Companies Code, because despite being governed by the provisions of this Code, they are in the first line subject to a specific legal framework that applies only to them. The truth is that, in the past years, the derogations to the Code provisions and the specific provisions that the govnerment has approved, raise the question of creation and/or maintenance of SOE’s in the form of a commercial company, essentially subjected to private law. The fact that a legal person under private law may be subject to the same rules, namely budgetary, as those of public administration, since the criteria which are used to qualify a SOE reclassified within the general government perimeter do not distinguish, nor do they exclude, this type of companies, makes them appear uncharacterized.
