Abstract

A entrada em vigor do Código Cooperativo veio estabelecer a autonomia das cooperativas face a outros tipos societários ou associativos. No entanto, cabe-me neste trabalho perguntar em que medida é que as cooperativas se constituem, se financiam e de que modo estes processos influenciam a sua natureza particular e a forma diferenciada com que se relacionam quer com os seus membros, quer com os terceiros não membros. Este trabalho é portanto sobre o capital social das cooperativas, enquanto instrumento que permite financiar a atividade cooperativa e de indispensável subscrição para qualquer pessoa que queria adquirir o estatuto de membro de uma cooperativa (cooperador). No entanto, a importância da análise do capital social cooperativo, prende-se com as suas particularidades e que resultam da identidade cooperativa assumida e materializada nos "princípios cooperativos da Aliança Cooperativa Internacional" e que ganham ainda maior destaque se analisados à luz do capital social das sociedades comerciais. Assim, e tentando ser o mais esclarecedor possível, percorro toda a "vida" do capital social nas cooperativas (desde a sua formação à sua extinção) por ordem, a dar o meu contributo para a difusão das cooperativas e do seu regime jurídico.

The entry into force of the Cooperative Code has established the autonomy of cooperatives, when compared with other corporate or associative types. However, in this work I must study how cooperatives are composed, defray and how these processes influence their particular nature and the different ways they relate either with their members and third parties. In this context, this work is about the share capital of cooperatives as a tool that enables the financing of the cooperative activity and of essential subscription for anyone who wants acquires the status of a member of a cooperative (cooperator). However, the importance of analyzing the share capital of cooperatives is related to their particularities that resulted from the cooperative assumed identity and are embodied in the "cooperative principles of the International Cooperative Alliance" and still gain greater prominence when analyzed in the face of share capital of commercial companies. Therefore, and with the goal of being as enlightening as possible, I had covered all the “life” of share capital in cooperatives (from its formation until its extinction) in order to give my contribution to the spread of cooperatives and their legal status.
